How to Set up a
Subsidiary in Austria

The subsidiary is one of the legal forms under which a foreign company can start its business
activities in Austria.

It is a locally registered Austrian company in which a foreign legal entity holds the majority of
the shares (more than 50%).

The subsidiary is a separate business
form from the parent company abroad,
therefore providing a convenient
separation of the two legal entities.

Unlike in the case of the branch, the parent
company is not fully liable for its Austrian
subsidiary’s debts and activities.

The subsidiary is set up as a local
Austrian company, either a public
or a limited liability company.

A subsidiary can engage in the same business
activities as the parent company, or it can add
different/other objects of activity.

The subsidiary is registered with the Austrian
Business Register, once the documentation is
completed and the minimum share capital is
provided by the founders.

The subsidiary is subject to corporate income
tax on its worldwide income, and also to VAT
registration, depending on its turnover and
business activities.
