SocialStockExchange(SSE)isaseparatesegmentoftheexistingStock
Exchange,thatcanhelpSocialEnterprise(s)tointroducefundsfrom
generalpublicviastockexchangesystem.
SocialStockExchangewillactasamediumbetweenfundproviders&
SocialEnterprisesandthatcansupportthemtoselectsuchkindof
organizationswhicharemakingmeasurablesocialimpactandreporting
ofsuchkindofsocialimpact.

•A Social Enterprise means
Either a Not for Profit Organisation or
A For Profit Social Enterprise
•ThatmeetstheeligibilitycriteriaspecifiedintheSEBIICDR
Regulations.

A.Tobeidentifiedasasocialenterprise,aNotforProfitOrganisation
(NPO)oraForProfitSocialEnterprise(FPSE),shallestablishprimacy
ofsocialintent.
B.Inordertoestablishtheprimacyofitssocialintent,suchSocial
Enterpriseshallmeetthefollowingeligibilitycriteria:-

•a.Thesocialenterpriseshallbeindulgedinatleastoneofthe
followingactivities:
•1)eradicatinghunger,poverty,malnutritionandinequality;
•2)promotinghealthcareincludingmentalhealthcare,sanitationand
makingavailablesafedrinkingwater;
•3)promotingeducation,employabilityandlivelihoods;
•4)promotinggenderequality,empowermentofwomenand
LGBTQIA+communities;
•5)ensuringenvironmentalsustainability,addressingclimatechange
includingmitigationandadaptation,forestandwildlifeconservation;

•6)protectionofnationalheritage,artandculture;
•7)trainingtopromoteruralsports,nationallyrecognisedsports,
ParalympicsportsandOlympicsports;
•8)supportingincubatorsofSocialEnterprises;
•9)supportingotherplatformsthatstrengthenthenon-profit
ecosysteminfundraisingandcapacitybuilding;
•10)promotinglivelihoodsforruralandurbanpoorincluding
enhancingincomeofsmallandmarginalfarmersandworkersinthe
non-farmsector;

•11)slumareadevelopment,affordablehousingandotherinterventionsto
buildsustainableandresilientcities;
•12)disastermanagement,includingrelief,rehabilitationandreconstruction
activities;
•13)promotionoffinancialinclusion;
•14)facilitatingaccesstolandandpropertyassetsfordisadvantaged
communities;
•15)bridgingthedigitaldivideininternetandmobilephoneaccess,
addressingissuesofmisinformationanddataprotection;
•16)promotingwelfareofmigrantsanddisplacedpersons;
•17)anyotherareaasidentifiedbytheBoardorGovernmentofIndiafrom
timetotime

•b.Thesocialenterpriseshalltargetunderservedorlessprivileged
populationsegmentsorregionsrecordinglowerperformanceinthe
developmentprioritiesofcentralorstategovernments.

•TheNon-ProfitOrganisations(NPOs)includetrust,society,NGOsor
Section8Companyregistered/incorporatedundertheCompanies
Act,2013and
•ForProfitSocialEnterprise(FPEs)includescorporates.
•Thesocialintentmustbethefirstandprimaryobjectiveofallsocial
enterprisesthatplantolisttheirsecuritiesonSSE.

•Not Profit Organisations can collect funds through
•Equity
•Mutual Funds
•Zero Coupon Zero Principal Bonds
•SVPs
•Development Impact Bonds

•Funding Structures for FPEs
•The existing fund raising structures as available for Corporates shall also be
available for ‘For Profit Social Enterprises’ (FPEs).
•The funding structures discussed for NPOs may be used for funding FPEs as
well.
•FPEs may list their securities on the appropriate existing stock exchanges:
•Debt securities may be listed on the main board,
•Equity securities may be listed on the main board or Small and Medium
Enterprise (SME) Platform or Innovators Growth Platform (IGP)
