When a company is no longer profitable, or
when there are other reasons to terminate
its activities, the shareholders may decide
to dissolve it.

Company dissolution in Belgium also
involves the liquidation of its assets.

Once the asset liquidation phase is completed, the company will cease to exist.

The goal of the liquidation process is to sell off its assets, pay the dues to any creditors and any
owed taxes, and then distribute the remaining amounts (if any) among the shareholders.

Once the decision is made to dissolve the company, the
Board will convene to put the legal entity into
liquidation and appoint a liquidator.

The liquidator’s appointment is confirmed
by court, and it is his duty to prepare the
relevant documents and handle the
essential steps of the process.

The liquidation process is completed when the company has resolved its outstanding debts
and the liquidator prepared the final accounts, subject to court verification and approval.

In some cases, a company may not be able
to pay its debts to creditors. It is then
considered in a state of bankruptcy. Our
