Article 2: Fixed Term of the Contract

Article 4: Security Deposit
On the signing date of this Lease Contract, Party "B" agrees to pay the Security
Deposit for the execution of the contract, which is equal to rent
and prepaid rent totaled at USD (
DOLLARS ) to Party "A" on the date of signing
this Lease Contract. The Security Deposit shall not be deemed to be a replacement for
the rent of "Leased Premises", and will be returned in its entirety by Party "A" to Party
"B" at the end of the Lease Term without any additional payment of interest, or any
other interests arising out of the Security Deposit and after Party "A" has found no
breakage or damage to the "Leased Premises" and after Party "B" has cleared off all
the debts or fees with any individuals or legal entities.

Article 5: Priority Requirements
Party "A" and Party "B" must meet the following requirements:
5.1 Party "A" shall deliver the Leased Premises to Party "B" after signing this
Contract in order for Party "B" to stay in.
5.2 Party "B" may repair and revamp the Leased Premises with the prior consent of
Party "A" as such repairs or modifications will not affect the structure of the building.

Article 6: Responsibilities and Rights of Party "A"
Party "A" guarantees and represents:
6.1 Party "A" or its representative has access to the Leased Premises when necessary,
by serving Party "B" or its representative with a prior notice and requiring full
coordination or cooperation of Party "B".
6.2 During the Lease Term, if Party "A" wishes to sell the Leased Premises, Party "A"
shall ensure that the new owner must accept all the terms and conditions of this Lease
Contract made between Party "A" and Party "B" until the end of the Lease Term, and
Party "A" must introduce the new owner to Party "B".

Article 7: Responsibilities and Rights of Party "B"
Party "B" guarantees and represents:
7.1 Party "B" is responsible for paying all taxes and other expenses related to its
business activities such as employee's salaries, water, electricity, telephone, hygiene
and costs of management and so on including advertising signboards.
7.2 The rights of the lease of the entire part or any part of the Leased Premises shall
not be transferred to the other party to occupy and use the Leased Premises.
7.3 Party "B" has the obligation to maintain, protect, and take responsibilities for
settling all the compensations during its tenure in the event of any catastrophic damage
to the property of Party "A" by its acts or representative or any third party. Any minor
damages resulting from the business activities of Party "B" shall be incurred solely by
Party "B". However, in the event of major damages, Party "B" shall be responsible for
paying such damages to Party "A". Party "B" may be relieved of all reparations in the
event of force ma jeure.
7.4 Party "B" is responsible for any and all unlawful acts arising out of its employment
during the applicable Lease Term, and Party "B" shall ensure that it does not engage in
any unlawful business including online game which will not implicate and disturb
Party "A".
7.5 Any dispute with any third party arising out of the use of its services shall not
implicate or encumber Party "A".
7 . 6 Party "B" is responsible for the loss of the profits by itself. Party "B"
acknowledges that
Party "A" does not have any liability in connection with the business of Party "B".
7.7 In the event that a fire arises out of its neglect at the Leased Premises, Party "B"
shall be liable for such damages in accordance with the applicable laws.
7.8 It is strictly forbidden to engage in any unlawful acts, such as cyber extortion,
other scams, trafficking of women and children, drug trafficking, sex trafficking or
other illegal activities at the Leased Premises.
7.9 In the event that Party "B" refuses to lease or terminates the lease early or fails to
pay the rent for seven days, it is considered that Party "B" has decided to terminate the
lease and agree to allow Party "B" to unilaterally dissolve this Agreement, then the
Security Deposit and any other sums of money paid by Party "B" or other equipment
furnished by Party "B" shall be in the interests of Party "A", and Party "A" shall have
the right to take back the Leased Premises without the protest of Party "B". In this
case, Party "A" shall also not be liable for any loss of benefits or other liabilities used
in the interests of Party "B", and Party "B" shall be fully responsible for them.
7.10 Party "B" shall comply with the obligations of Immigration and Employment
Law for foreigners and other obligations of the State as set forth in the laws of the
Kingdom of Cambodia.
7.11 Upon termination of the Lease Term, Party "B" shall make all necessary repair
and modifications in accordance with the original structures and aesthetics. In the
event that Party "B" fails to repair the structures of the building, Party "A" will settle a
payment by deducting the said Security Deposit of Party "B" to terminate the
Agreement.

Article 8: Maintenance, Repair and Renovation
As of the signing date of this Agreement, Party "B" has the right to prepare the Leased
Premises in accordance with its business requirements and standards. All such
modifications are subject to the layout plan and shall be made in writing with the
consent of Party "A", and Party "B" must properly maintain the orginal infrastructure,
structures and aesthetics of the Leased Premises. In the event that any damage is
caused to the " Leased Premises by Party "B" or its representative, Party "B" shall
fully pay the damages to Party "A".

Article 9: Transfer and Sublease
Party "B" does not have the right to sublease the Leased Premises to the other party. If
party “B” wish to sublease the leased premises to the Third Party, Party “B” shall be
notified and a written agreement or agreement from Party "A". The period of transfer
or sublease shall not exceed the period specified in the original agreement between
Party "A" and Party "B".

Article 10: Damage upon Completion Caused Due to Offense of Party "B"
Party "A" has the right to terminate the Lease earlier if Party "B" has committed a
breach or violated this Lease or if Party "B" has failed to fulfill its obligations or
promises set forth in this Agreement. In this case, Party "A" has the right to confiscate
the Security Deposit of Party "B" as its legal property and any other monies paid by
Party "B" to Party "A" during the execution of the Agreement.

Article 11: Severability
If any clause of this Lease is invalid or unenforceable, the other provisions shall
remain in force to the fullest extent permitted by law.

Article 12: Dispute and Settlement
Any disputes arising between the two parties can be resolved through two procedures:
1.Any disputes arising out of this Agreement or in connection with this Agreement,
including any disputes relating to and validating, interpreting, enforcing or terminating
it shall be resolved in a mutually agreed manner.
2.If both parties cannot reach a mutual agreement, the dispute will be referred to the
court of competent jurisdiction of the Kingdom of Cambodia.
