The Company Liquidation
Process in Romania

An inactive or unprofitable Romanian company can be closed down by
its shareholders, according to its constitutive documents.

The liquidation and the dissolution
stages are both important for
closing down a company.

A company is first dissolved, meaning that it
ceases its normal business operations, in
preparation for its liquidation stage.

During dissolution, the legal
entity continues to exist,
however, only to complete the
liquidation process.

This is the process of settling the
company’s debts to its creditors before
it can be closed down.
Liqudation

Company liquidation can be both a voluntary
process (initiated by shareholders), and a
compulsory one (when initiated by a Court order).

The liquidation stage is handled by
an appointed liquidator who has
the power to control, sell and
distribute the company’s assets.

After settling the company’s debts
towards creditors, any remaining assets
are divided between the shareholders.
