THE COMPANY LIQUIDATION STEPS
IN ESTONIA
A presentation brought to you by LawyersEstonia.com

Investors who no longer wish to do
business in Estonia can dissolve a
company and liquidate its assets.

The dissolution
process represents
the deletion of the
respective legal entity,
and it involves the
liquidation phase.

Company liquidation in Estonia can commence voluntarily through
a shareholder’s meeting.

At least one liquidator is required to handle the
assessment and sale of assets, along with
making the necessary payments to creditors.

Once liquidation begins, the Estonian company will no longer be
able to engage in its regular business activities.

After all the assets have
been sold and the debts
satisfied, any remaining
amounts are
distributed to the
partners.

The final step in the liquidation
process is to submit an application to
delete the limited company from the
business register.

In some situations, the dissolution of a company
may be ordered by court. Our lawyers in Estonia
can assist you if this is the case.

The company
liquidation stage will
take six months or
more and can depend
on the company’s level
of debts towards
creditors, as well as
other particularities.

Our Estonian lawyers can offer complete information about and
assistance with company liquidation and dissolution.
