The provisions of the Amendment Act has come
into force on 1st November, 2016. After coming into
effect of the Amendment Act, the existing Benami
Transactions (Prohibition) Act, 1988 has been
renamed as Prohibition of Benami Property
Transactions Act, 1988 (PBPT Act).

thebenamipropertyistransferredorheldandincludesapersonwholendshis

Theterm‘fiduciaryrelationship’isusedtodescribeasituationortransaction
whereoneperson(beneficiary)placescompleteconfidenceinanotherperson
(fiduciary)inregardtohisaffairs,businessortransaction/s.Thetermalsorefers

fetchonsaleintheopenmarketonthedateofthetransaction;andwhere

DETERMINATION OF PRICE IN CERTAIN
CASES (RULE-3)
Forthepurposesofsection2(16)(ii)oftheAct,thepriceshallbedeterminedinthefollowing
manner,namely:—
•thepriceofunquotedequitysharesshallbethehigherof,—
oitscostofacquisition;
othefairmarketvalueofsuchequitysharesdetermined,onthedateoftransaction,bya
merchantbankeroranaccountantaspertheDiscountedFreeCashFlowmethod;and
othevalue,onthedateoftransaction,ofsuchequitysharesasdeterminedinthefollowing
manner,namely:—
•Thefairmarketvalueofunquotedequityshares=(A+B-L)×(PV)/(PE).

theunamortisedamountofdeferredexpenditurewhichdoesnotrepresentthevalueofanyasset;

•Assetsofanykind,whethermovableorimmovable,tangibleorintangible,
corporealorincorporealandtoincludeanyrightorinterestorlegal
documentsorinstrumentsevidencingtitletoorinterestintheproperty
andwherethepropertyiscapableofconversionintosomeotherform,
thenthepropertyintheconvertedformandalsoincludestheproceeds

“Propertyinlegalsensemeansanaggregateofrightswhichare
guaranteedandprotectedbylaw.Itextendstoeveryspeciesofvaluable
rightandinterest,moreparticularly,ownershipandexclusiverighttoa
thing,therighttodisposeofthethingineverylegalway,topossessit,
touseitandtoexcludeeveryoneelsefrominterferingwithit.The

imprisonmentforatermwhichmayextendtothreeyearsorwithfineorwith

•Whoeverentersintoanybenamitransactiononandafterthedateof
commencementoftheBenamiTransactions(Prohibition)AmendmentAct,

•Nosuit,claimoractiontoenforceanyrightinrespectofanypropertyheld
benamiagainstthepersoninwhosenamethepropertyisheldoragainstany
otherpersonshallliebyoronbehalfofapersonclaimingtobetherealownerof
suchproperty.
•Nodefencebasedonanyrightinrespectofanypropertyheldbenami,whether

PROPERTY BY BENAMIDAR (SEC-6)
•Noperson,beingabenamidarshallre-transferthebenamipropertyheldby
himtothebeneficialowneroranyotherpersonactingonhisbehalf.
•Whereanypropertyisre-transferredincontraventionoftheprovisionsof
sub-section(1),thetransactionofsuchpropertyshallbedeemedtobenull
andvoid.
•Theprovisionsofsub-sections(1)and(2)shallnotapplytoatransfermade
inaccordancewiththeprovisionsofsection190oftheFinanceAct,2016.

LAYING OF RULES AND NOTIFICATIONS
BEFORE PARLIAMENT (SEC-69)
EveryrulemadeandnotificationissuedunderthisActshallbelaid,assoonasmaybe
afteritismadeorissued,beforeeachHouseofParliament,whileitisinsession,fora
totalperiodofthirtydayswhichmaybecomprisedinonesessionorintwoormore
successivesessions,andif,beforetheexpiryofthesessionimmediatelyfollowingthe
sessionorthesuccessivesessionsaforesaid,bothHousesagreeinmakingany
modificationintherulesornotifications,asthecasemaybe,bothHousesagreethat
therulesornotifications,asthecasemaybe,shouldnotbemadeorissued,theruleor
notification,asthecasemaybe,shallthereafterhaveeffectonlyinsuchmodifiedform
orbeofnoeffect,asthecasemaybe;so,however,thatanysuchmodificationor
annulmentshallbewithoutprejudicetothevalidityofanythingpreviouslydoneunder
thatruleornotification,asthecasemaybe.

POWER TO REMOVE DIFFICULTIES
(SEC-70)
•IfanydifficultyarisesingivingeffecttotheprovisionsofthisAct,theCentral
Governmentmay,byorder,publishedintheOfficialGazette,makesuchprovisions
notinconsistentwiththeprovisionsofthisActasmayappeartobenecessaryfor
removingthedifficulty.
•Noordershallbemadeunderthissectionaftertheexpiryoftwoyearsfromthe
commencementofthisAct.
•Everyordermadeunderthissectionshallbelaid,assoonasmaybeafteritismade,
beforeeachHouseofParliament.

TRANSITIONAL PROVISION
(SEC-71)
TheCentralGovernmentmay,bynotification,providethatuntilthe
AdjudicatingAuthoritiesareappointedandtheAppellateTribunalis
establishedunderthisAct,theAdjudicatingAuthorityappointedunder
sub-section(1)ofsection6oftheMoney-LaunderingAct,2002andthe
AppellateTribunalestablishedundersection25ofthatActmaydischarge
thefunctionsoftheAdjudicatingAuthorityandAppellateTribunal,
respectively,underthisAct.

REPEAL AND SAVING (SEC-72)
•TheBenamiTransactions(ProhibitionoftheRighttoRecover
Property)Ordinance,1988isherebyrepealed.
•Notwithstandingsuchrepeal,anythingdoneoranyactiontaken
underthesaidOrdinanceshallbedeemedtohavebeendoneor
takenunderthecorrespondingprovisionsofthisAct.

TheSupremeCourthasheldthatinthecaseofbenamitransactions,therealownerhasgot
thetitle,thoughthepropertyisinthenameofthebenamidar.Therealownercandealwith
thepropertywithoutreferencetothebenamidar.Abenamidarhasnointerestatallinthe
propertystandinginhisname.Thefactthattherealownercannotrecoverthepropertysold
bythebenamidarunlessheshowsthatthepurchaserhadactualorconstructivenoticeof
therealtitle,doesnotmeanthatthebenamidarhasrealtitletotheproperty.Heismerely
anostensibleownerthereof.Inviewoftheanalysis,liabilitytoestatedutyinrespectof
propertyheldbenamiwouldariseonthedeathoftherealownerandnotonthedeathofthe
benamidar.
Liability to estate duty in respect of property held
benami -Whether arise on the death of real owner and

Inacasewherethedeclarantgetsthebenamiassettransferredinhisnamewithoutpayment
ofanymonetaryconsiderationtothebenamidar,whethercapitalgainswouldbechargeable
inthehandsofbenamidarconsequentuponsuchtransferandwhetherthetaxatsource@1%
wouldbedeductedinsuchcase?
➢Inthiscasetheconsiderationforacquisitionofbenamipropertyhasalreadybeenpaidby
thebeneficialownerandthefairmarketvalueofthepropertyhasbeendeclaredbythe
beneficialownerundertheScheme.Since,thetransferofpropertyfrombenamidarto
beneficialownerisonlytoregularizeandtherewillbenoinvolvementofmonetary
considerationfortransferofimmovablepropertybythebenamidarinthenameofthe
declarant,thequestionofcapitalgainsinthehandsofbenamidaranddeductionoftaxat
sourcethereonshallnotarise.
