4. Foreword
TostreamlinetheprocurementprocessinSriLankatheGovernmenthasdecidedto
developaseriesofStandardBiddingDocumentsforprocurementofGoodsandWorks.
TheCabinetofMinistershasentrustedthistasktoNPA-TheProcurementGuidelines
(2006)requiresthatallPEshallusetheappropriateSBDsapprovedbyNPA.
Accordingly,asajointeffortofNPA/ICTADtheSBDspublishedpreviouslybyICTAD
were revised for conformity with the Guidelines.
ThisBiddingDocumentforProcurementofWorksshallbeusedforNational
CompetitiveBidding(NCB)withinthelimitsspecifiedintheSBD,forthecontractsthat
arefinancedbyGovernmentofSriLanka.Thepublicationisdraftedtosuitforforeign
fundedcontractsandisadvisedtouseinsuchcontractswiththeconcurrenceofthe
fundingagencies.
TheseBiddingDocumentsforProcurementofWorks,assumesthatnoprequalification
hastakenplacebeforebidding.However,forthedomesticcontractorsICTAD
registrationisapre-requisitetoeligibleforcontractawardandforallcontractorsa
suitablepostqualificationshouldbecarriedout.

Thegrowingneedtostandardizeprocurementdocumentswas'expressedfromseveralsectorsoftheindustry.
Itsimplifiestheprocess,andanattempthasbeenmadetoachievetheseobjectiveswithsimplicitybutwith
precision.ToachievetheseobjectivesICTADcommencedtodevelopnewstandarddocumentswiththe
assistanceoftheIDAoftheWorldBank.
ThistaskwascarriedoutbyMr.EddiedeZylvaandMr.JayanthadeMelundertheguidanceofaSteering
CommitteeandSubCommitteeappointedforthereviewofICTADPublications.
ThefirstoftheseriesofsuchdocumentsistheStandardBiddingDocumentforProcurementofWorks,which
waslargelybasedontheWorldBankStandardBiddingDocumentforSmallerContracts.Thissupersedesthe
ICTADConditionsofContractforWorksofBuilding&CivilEngineering(SCA/1)andissuitableforusebothby
InternationalCompetitiveBidding(ICB)andbyNationalCompetitiveBidding(NCB)procedures.Thisdocument
mayalsobeusedforworksofhighervaluesprovidedthattheworksarenotofacomplexnature.Substantive
instructionshavebeengiveninordertoensurethatcontractsarecarriedoutinaccordancewithpoliciesand

This Standard Bidding Document (SBD) is intended for use in measure and pay contracts.
It includes many guidance notes to the user. Hence this publication is not intended to use
as a biddingdocumentfor a specific procurement. Procuring Entities (PEs) are advised to
use Volume 1 and Volume 2, which are published separately as the bidding document for
a specific procurement. The users are advised to follow the directions given below:

Bidder
5.1 Each bidder shall submit only one Bid, either individually or as a
partnerina jointventure.Abidderwhosubmitsorparticipatesin
more than one Bid (other than as a subcontractor or in casesof
alternativesthat have beenpermittedorrequested)will cause all the
proposals
withthe bidder'sparticipationto bedisqualified.

13.2Thebiddershallfillinratesandpricesfor allitemsof theWorks

25.1To assist in the examination, evaluation, and comparison of Bids, the
Employermay,at theEmployer'sdiscretion,askanybidderfor
clarificationofthebidder'sBid,includingbreakdowns ofunit rates.
The request forclarificationand theresponseshall be in writing but
no change in the price orsubstanceof the Bid shall besought,
offered, or permitted except as required to confirm the correction of
arithmetic errors discovered by the Employer in the evaluation of the

26.1Prior to the detailed evaluationofBids, the Employer will determine
whether each Bid (a) meets the eligibility criteria defined in the

26.2Asubstantiallyresponsivebidisonewhichconformstoalltheterms,

materialdeviationorreservation.Amaterialdeviationorreservation
isone(a)whichlimitsinanysubstantialwaythescope,quality,or
performanceoftheWorks;(b)whichlimitsinanysubstantialway,
inconsistentwiththebiddingdocuments,theEmployer'srightsorthe
bidder'sobligationsundertheContract;or(c)whoserectification
wouldaffectunfairlythecompetitivepositionofotherbidders
presentingsubstantiallyresponsivebids;(d)abidwhichproposesan
alternativewherenotallowedto do so.
26.3If abidisnotsubstantiallyresponsive,itwillberejectedbythe
Employer,andmaynotsubsequentlybemaderesponsiveby

27.1 Bids determined to be substantially responsive will be checked by the
Employerfor anyarithmeticerrors. Errors will becorrectedby the
Employerasfollows:
(a) where there is adiscrepancybetween the amounts in figures and in
words,the amount in wordswillgovern;and
(b) where there is adiscrepancybetween the unit rate and the line
item
totalresultingfrommultiplyingthe unit rate by the quantity,the unit
rate as quoted will govern, unless there is an obvious gross
misplacement
ofthe decimal point in the unit rate, in which case the

itemtotal as quoted will govern, and the unit rate will be
corrected.
(c) if the bid pricechanges by the aboveprocedure,the amount stated in
the Form of Bid shall be adjusted with theconcurrenceof the Bidder
and shall be considered as binding upon the bidder.

33.1 Prior toexpiration

33.4 Upon the furnishing by the successful bidder

security, the Employer will promptly notify the other bidders that
theirbidshavebeenunsuccessful.
33.5 At thesametime that theEmployernotifiesthesuccessfulbidderthat
its-lrid has been accepted, the Employer will prepare the agreement in
~)rm provided in the bidding documents, incorporating all

A.General

BillsofQuantitiesmeansthepricedandcompletedBillsot
Quantitiesformingpart of the bid.
CertificateofCompletionisthecertificateissuedbytheEngineer
oncompletionof the Works.
CompensationEventsarethosedefinedinClause44hereunder.
CompletionshallmeanwhenintheopinionoftheEngineerthe
Workshavebeencompletedtoanextenttobeconsidered
functionalfor theintendedpurpose.
TheCompletionDateisthedateofcompletionoftheWorksas

TheContractis the Contract between the Employer and the
Contractorto execute the Works and shall include the documents

TheContractor'sBidis the completed bidding document

employstheContractorto carryout the Works.
TheEngineeris the personnamedin theContract Data(or any

executionof thework.Suchpersonmaybe an
engineer,architectoranyothertechnicalperson.Intheabsenceof

9. 1 TheContractorshall employ the keypersonnelif namedby the
Employerinthescheduleofkeypersonnel,asreferredtointhe
Contract Data, to carry out thefunctionsstated in the scheduleor
otherpersonnelapproved by theEngineer.The Engineer may
approveanyproposedreplacementof keypersonnelonly if their
relevantqualificationsand abilities aresubstantiallyequal to or
better than those
ofthe personnel listed in the schedule.
9.2 If the
Engineerasks theContractorto removeapersonwhois a
member
oftheContractor'sstaffor work force,statingthe
reasons, the Contractor shall ensure that the person leaves the Site
withinsevenDaysand has nofurther connectionwiththeworkin
theContract.
10.1TheEmployercarries the risks which this Contract states are
Employer's
risks,and theContractorcarriesthe riskswhichthis
ContractstatesareContractor'srisks.
11.Employer'sRisks11.1From theStartDateuntil theFinalCertificatehasbeenissued,the
following areEmployer'srisks:
(a) The risk
ofpersonal injury, death, or lossofor damage to
property(excluding the Works, Plant,Materials,and
Equipment),which are due to;
(i) use or occupationof the Site
ofthe Worksor for the
purposeof the
Works,which is theunavoidable
resultoftheWorksor
(ii)negligence,breach ofstatutoryduty, or interference
with any legal right by the Employer or by any
person employed by or contracted by him except the
Contractor.

Equipment to the extent that is due to :
(i) a fault
oftheEmployeror theEmployer'sdesign
(ii) due to war,hostilities,rebellion,revolution,

which is not caused by or due to theemployees

11.2 From theCompletionDate until the FinalCertificatehas been
issued, the risk

(a) a Defectwhich existed on the Completion Date,

Contractor'srisks.
13.1TheContractorshallprovide,inthe jointnamesofthe
EmployerandtheContractor,insurancecoverfromtheStartDateto
the end of theDefectsLiabilityPeriod,in theamountsand
deductibles stated in the Contract Data for the following events
whichare due totheContractor'srisks:
(a)lossofordamagetotheWorks,TemporaryWorks,Plant
andMaterials.
(b) lossofor damagetoEquipment;
(c)lossofordamagetopropertyofthirdpartiesandthatofthe
Employer;(excepttoWorks,TemporaryWorks,Plant,
Materials,andEquipment)inconnectionwiththeContract;
(d)personalinjuryordeathtoanypersonofathirdpartyand
includingemployeesof theEmployerandotherpersons
engagedbytheEmployerinconnectionwiththeContract;
13.2TheContractorshallprovideinsurancecoverfromtheStartDateto
theendoftheDefectsLiabilityPeriod,in theamountsstatedin
theContractData for thefollowingevent which is due to the
Contractor'srisk:
(a)liabilityforpersonnelinjuryordeathofworkmenorother
employeesoftheContractor.TheContractor'sliabilityfor
personalinjuryordeathofworkmenshallbeasprovided
for in the Workmen'sCompensationAct and any other
statutorymodificationsoramendmentsthereto.
13.3 Policies and certificates for insurance shall be delivered by the
Contractorto theEngineerfor theEngineer'sapprovalbefore
the Start Date. All such insurance shall provide for
compensationtobepayableinthetypesandproportionsof
nciesrequiredtorectifythelossordamageincurred.
13.5

rtificatesrequired,theEmployermayeffect theinsurance
which*the Contractor should have provided and recover the
premiumstheEmployerhaspaidfrompaymentsotherwisedue

15.1TheEngineerwillclarifyqueriesontheContractData.

StartDateandshallcarryouttheWorksinaccordancewiththe

18.1TheContractorshallsubmitSpecificationsand Drawings
showingtheproposedTemporaryWorkstotheEngineer,who

Drawings.
18.2 The Contractor shall be responsible for design
ofTemporary
Works.
18.3TheEngineer'sapprovalshallnotaltertheContractor's
responsibilityfordesignoftheTemporaryWorks.
18.4TheContractorshallobtainapprovalofthirdpartiesto the
designoftheTemporaryWorks,whererequired.
18.5AllDrawingspreparedbytheContractorfortheexecutionof
theTemporaryorPermanentWorks,aresubjecttoprior
approval by the Engineerbefore use.
19.1TheContractorshallberesponsiblefor the safety of all
activitiesontheSite.
20.1Anythingofhistoricalorotherinterestor ofsignificantvalue
discovered on the Site shall be the propertyoftheEmployer.
The Contractor shall notify the Engineer
ofsuch discoveries
d carryouttheEngineer'sinstructionsfordealingwith
them.
Employershall give possessionofall partsofthe Site to the
ntractor. The Employer if required may give possession
of
he Site in accordance with the approvedprogramme.If
possession
ofa part is not given by the date stated in the
Contract Data, the Employer will be deemed to have delayed the
start
oftherelevantactivities, andthiswillbe a Compensation
Event.
22.1 The Contractor shall allow the Engineer and any person
authorized by the Engineer access to the Site and to any place
where work in connection with the Contract is being carried out
orisintendedtobecarriedout.
23.1 The Contractor shall carry out all instructionsofthe Engineer
which comply with the applicable laws where the Site is
located.

25.1 Either Party may initiate thereference

Adjudicatorbygiving07 Daysnoticeto the
otherParty.
25.2
TheAdjudicatorshall beappointedbyagreementbetweenthe
Parties.In
theeventthePartiesareunabletoreachagreement
on theappointment oftheAdjudicatorwithin fourteen (14)
Daysfrom the date
ofsuchrequest,eitherPartymaymakean
applicationto the Institute forConstructionTrainingand
Development(ICTAD)toappointanAdjudicator.
25.3 TheAdjudicatorshall be aprofessionalwithexperiencerelevant
to the Works and in theinterpretation
ofcontractualdocuments.
SuchAdjudicatorshall have nointerestfinancialorotherwisein
the Employer, theContractoror theEngineernor any financial
interest in the Contract, except in respect
ofhis professional
fees.
25.4 TheAdjudicator'sfee shall beagreedby both Parties and shall
be borne by both Parties in equalamounts.
25.5 TheAdjudicatorshall give thedeterminationinwritingwithin
28 Days or suchotherperiod
ofreceiptofanotificationofa
dispute. The Adjudicator shall determine procedures as he sees
fitensuringthat each Party is given areasonableopportunityto
makerepresentationsincludingwrittensubmissionsand/or
hearing
ofwitnesses in person.
25.6With the priorconcurrence
ofbothParties theAdjudicatormay
take advice andassistancefromindependentprofessional
advisor/sorotherperson/stoenablehim to reach a
determinationon thedispute.Suchcostsshall beborneby both
Partiesinequalamounts.
25.7 Each
ofthe Parties shall upon and inaccordancewith a request
(SnMlOWtneAdjudicatorsupplyhimfreeofchargesuchinformation
anildocumentsasheshallrequireforthepurposesofthe
.referencetohim.Thatinformationandthosedocumentsshallbe
keptconfidentialby him and by
theParties.
25.8
TheAdjudicatorshallnot act as anArbitrator. Thedecisionof
theAdjudicatorshall be deemed final andbindingon the Parties
ifneitherPartyrefersthedisputetoarbitrationinaccordance
withSub-Clause26.1 withintwentyeight (28) Days
ofthe
Adjudicator'sdetermination.

ReplacementofAdjudicator
ShouldtheAdjudicatorresignordieorisremovedbyagreement
ofthePartieson thebasis ofhisunsatisfactoryperformance,the
Parties mayjointlyappoint anotherAdjudicatorand such an
appointmentshall be made within fourteen (14) Daysafterthe

26.2Composition

27.1 Within the time stated in the Contract Data, the Contractor shall
submitto theEngineerforapprovalaprogrammeshowingthe
general-methods,arrangements,order,andtimingforallthe
activitiesintheWorks.
27.2Anupdateof theprogrammeshallbe aprogrammeshowingthe
actualprogressachievedoneachactivityand theeffectof the
progressachievedonthetimingoftheremainingwork,including
anychangesto thesequenceof theactivities.

27.3 TheContractorshallsubmitto theEngineerforapprovalan
updatedprogrammeatintervalsnolongerthantheperiodstated
intheContractData.
27.4 If theContractordoes not submit a programinaccordancewith
Sub-Clause
27.1above or an updated programme in accordance
with Sub-Clause 27.3 above, within the periods specified, the
Engineer may withhold the amount stated in the Contract Data
from the nextpaymentcertificate and continue to withhold this
amount until the next payment after the date on which the
overdueprogrammehas been submitted.
27.5 The
Engineer'sapprovalof theprogrammeshall not alter the
Contractor'sobligations. The Contractor may revise the
programmeandsubmitit to theEngineeragain at any time. A
revisedprogrammeshallshowthe effect ofVariationsand
CompensationEvents.
28.1TheEngineershallextendtheIntendedCompletionDateif a
CompensationEventoccursor aVariationisissuedwhich
makesitimpossibleforcompletionto beachievedby the
IntendedCompletionDatewithouttheContractortakingstepsto
acceleratetheremainingwork,
whichwould cause the
ContractortoincuradditionalCosts.
heEngineershalldecidewhetherandbyhowmuchtoextend
IntendedCompletionDatewithin21Days of theContractor
ingtheEngineerfor adecisionupontheeffectof a
CompensationEventorVariationandsubmittingfullsupporting
Information.IftheContractorhasfailedtogiveearlywarningof
a
delayorhasfailedtocooperateindealingwithadelayas

failure shall not be considered in assessing the new Intended

29.1WhentheEmployerwantstheContractortofinishbeforethe
IntendedCompletionDate,theEngineerwillobtainpriced

Contractor.If theEmployeracceptstheseproposals,the

EngineermayrequiretheContractortoprovideanestimateof
theexpectedeffectofthefutureeventorcircumstanceonthe
Contract Price andCompletion Date.Theestimateshall be
providedbytheContractorassoonasreasonablypossible.
32.2 TheContractorshall cooperate with theEngineerin makingand
considering proposals for how the effect
ofsuch an event or
circumstance can be avoided or reduced by anyone involved in
the work and in carrying out anyresultinginstructionof the
Engineer.

QualityControl
„The Engineer shall check theContractor'swork and notify the
ntractor
ofany Defects that are found and shall specify a time
w/thin which the defects are to be rectified. Such checking shall
ot affect theContractor'sresponsibilities.The Engineer may
instructtheContractortosearchforaDefectandtouncoverand
test any work that theEngineerconsidersmay have a Defect.
34.1 If
theEngineerinstructstheContractortocarryout atestwhich
is notspecifiedin theSpecification
orBillsofQuantitiesin
sufficientdetail toenabletheContractorto have priced or
allowedforthesameintheBidandthetestshowsthatthe
workmanshipor Material isdefectivethen theContractorshall

percent,providedthechangeexceedsone(1)percentoftheInitial

marketconditionsandadjustthe rate to allow for thechanged
quantity exceeding the 25 percent.
38.2TheEngineershallnotadjustratesarisingfromchangesin
quantitiesiftherebytheInitialContractPriceisexceededexcept
with the prior approval of the Employer.
38.3IfrequestedbytheEngineer,theContractorshallprovidethe
EngineerwithadetailedcostbreakdownofanyrateintheBillsof
uantities.
r\IDj/aHationsmaybeinitiatedbytheEngineeratanytimepriorto
issuingtheCertificateofCompletionfortheWorks,eitherbyan
-instructionorbyarequestfortheContractortosubmitaproposal.
39.2VariationsmaybeorderedbytheEngineerprovidedthe
cumulative value of all such variations issued does not exceed a
sumspecifiedintheContractData.Anyvariationorderedabove
this limit would need the prior approvalofthe Employer .
39.3 The Contractor shall execute and be bound by each Variation,
unlesstheContractorpromptlygivesnoticeto theEngineerwith
supportingdocumentstoestablishthathecannotobtainthe
necessaryEquipment,Materials,Plant&TemporaryWorksorany

(c)changestothelevels,positionsanddimensionsofanypartof
theWorks;

(e)anyadditionalwork,Plant,Materialsorservicesnecessaryfor

change,therateintheBillsofQuantitiesshallbeusedto
calculatethevalueof theVariation.Ifthecostperunitof
quantitychanges,orifthenatureortimingoftheworkinthe
,ariationdoesnotcorrespondwithitemsintheBillsof
Quantities,thequotationbytheContractorshallbeintheformof
ewratesfor the relevantitemsofwork.

order theVariationand make a change to theContract Price,

43. 1 Payments shall be adjusted for deductions for advance payments
and retention. The Employer shall pay the Contractor the
amounts certified by the Engineer within 14 Days

each certificate. If the Employer makes a late payment the
Contractorshall be paid interest on the late payment in the next
payment.Interestshallbecalculatedfromthedatebywhichthe
paymentshouldhavebeenmadeupto thedatewhenthelate
paymentis madeat the rate ofinterestof1%over theprevailing
lending rate
ofthe Central Bank to Commercial Banks.
43.2Ifanamountcertifiedisincreasedin alatercertificateorasa
result of an recommendation by theAdjudicatoror an Arbitrator,
he Contractor shall be paid interest upon the delayed payment as
setoutinthisclause.Interestshallbecalculatedfromthedate
p©nwhichtheincreasedamountwouldhavebeencertifiedin

availablepubliclyandfromavisualinspectionoftheSiteatthe
timeofclosingofthe Bid.
(f) the
Engineergivesaninstructionfordealingwithanunforeseen
condition,causedby theEmployer,oradditionalworkrequired
forsafetyor other reasons.
(g) the advance payment is delayed.
(h) the effects onthe
ContractorofanyoftheEmployer'sRisks.
(i) the
Engineerdelaysissuingthemonthlypaymentcertificates
unreasonably.
(j) the
EngineerunreasonablydelaysissuingaCertificateof
Completion.
(k) the Engineer instructs the Contractor to uncover or to carry-out
additional tests upon work, which is then found to have no
defects.
(1)the Engineer instructs the Contractor to suspendprogress ofpart
or alloftheWorks,inaccordancewithSubClause64.1 and the
cause
ofsuspension is not the responsibilityofthe Contractor.

44.4 The Contractor shall not be entitled to compensation to the extent that
the Employer's interests are adversely affected by the Contractor not
having given earlywarningor not havingcooperatedwith the
Engineer.
45.Change in Law 45.1TheEngineersjialladjusttheContractPricefor anyChangeinLaw
during the periodcommencing28 Days prior to the closing date of
Bids and ending on the date
ofissuanceofthe Certificationof
Completionor termination pursuant to Clause 59. Theadjustmentshall
be the change in the amount
oftax, duties and other levies payable by
the Contractor provided such changes are not already reflected in the
ContractPriceorarearesultofClause47.1orotherwise.
For purposesofthis sub clause, Change in Law means theenactment
ofany new Law or a change to existing legislation and the repealof,or
modification
ofexisting lawsofthe country, including any regulations
made,and/ordirectivesissuedthereunder,or achangein thejudicial
interpretation and the application
ofany Law by acompetentCourt as
comparedtosuchinterpretation
orapplicationby a Courtpriorto the
date

63.2 For each provisional sum, the Engineer may instruct:
(a) Work to beexecuted(includingPlant,Materialsor services to

fromanominatedsubcontractorasdefineunderSub-Clause63.4
