There are over 1.22 million Rotary club members comprised of professional and business

Foreword from Past District Governor.
Dear Fellow Rotarians,

It is with great pleasure and a profound sense of gratitude that I pen this foreword as a past District Governor of our esteemed
Rotary district. As I reflect upon my journey and the countless experiences that have shaped my understanding of Rotary's
impact, I am filled with a deep sense of appreciation for the privilege of serving in this role.
Rotary has always been more than just an organization to me. It is a vibrant and dynamic community of individuals united by a
shared vision of creating positive change in the world. The values of service, fellowship, and ethical leadership that define
Rotary have guided me every step of the way, and it is an honor to have been entrusted with the responsibility of leading our
district.

During my tenure as District Governor, I witnessed firsthand the incredible power of Rotary in action. I had the privilege of
working alongside dedicated Rotarians who exemplify the true spirit of service above self. Together, we tackled local and
global challenges, transforming lives and communities through our collective efforts. Whether it was supporting education
initiatives, advancing healthcare, or addressing environmental issues, our district stood at the forefront of impactful change.
One of the most inspiring aspects of Rotary is its ability to bring together people from diverse backgrounds, cultures, and
professions. This rich tapestry of perspectives fuels innovation, fosters understanding, and propels us towards sustainable
solutions. Rotary is a space where collaboration thrives, ideas are nurtured, and friendships are forged that transcend borders
and ideologies.

In closing, I extend my heartfelt gratitude to every Rotarian, past and present, who has dedicated their time, resources, and
expertise to Rotary's noble cause. It is your unwavering commitment that fuels the engine of change, propelling Rotary forward
in its mission to create a better world. I encourage each of you to continue embracing the values of Rotary and to carry the
torch of service with pride and determination.

•It is my pleasure to welcome you all to another year of service, fellowship, and fun. As
Junctionites, we have the unique opportunity to make a meaningful difference in our
communities and around the world, while developing long lasting friendships and enhancing
our personal and professional growth.
•I know that each one of you brings a wealth of experience, skills, and passion to our club,
and I am grateful for your dedication and commitment to the Rotary values of Service Above
Self. Together, we can achieve great things and create a positive change in the world.
•Being a Rotarian is not just about attending meetings and events, it's about being an active
participant in our club's mission to serve others. I encourage all members to engage in
service projects, to develop friendships with fellow Rotarians, and to take advantage of the
many opportunities for personal and professional growth that Rotary provides.

President’s Overview.
Dear Fellow Rotarians,

I wish to thank you all for giving me an opportunity to serve the society at large and
also to make this club more vibrant with better team work to execute some of the
projects planned for the year 2023-24.
 I am also lucky to have some of the Best Talents and Highly Motivated Rotarians of the
club in my team as Directors during my Tenure and ably supported by the Think Tank
Group.
Added to this, I am Blessed to have some of the most Knowledgeable, Experienced,
Dedicated senior Rotarians, especially the Past Presidents & Secretaries who have been
guiding the Club over the years.
My wish for the Year will be to involve each and every Rotarian of the club in the

By-Laws
Article I Definitions
1. Board: The Board of Directors of this club.
2. Director: A member of this club's Board of Directors.
3. Member: A member, other than an honorary member, of this club.
4. RI: Rotary International.
5. Year: The twelve-month period that begins on 1 July.
Article 2 Board The governing body of this club shall be the board consisting of 13 members of this club, namely, the
President, Immediate Past President, Vice-President will be President-elect, Secretary, Joint Secretary, treasurer, the
sergeant-at-arms, five directors and Bulletin Editor elected in accordance with article 3, section 1 of these bylaws.
President Nominee will simultaneously hold the position of a director.
Article 3 Election of Directors and Officers
Section 1: Board will appoint the returning officer, who has been past president and member of Rotary for more than five
years. He should not be a member of current board for conduct of elections. He will invite nominations form the members
for the posts of, president nominee Secretary, Joint Secretary, treasurer, the sergeant-at-arms, four directors and Bulletin
Editor. The nominations duly made shall be placed on a ballot in alphabetical order under each office and shall be voted
for at the annual meeting. The candidates receiving majority of the votes shall be declared elected to their respective
offices. The four candidates for director receiving majority of the votes shall be declared elected as directors. The
candidate for President Elect will serve as vice president in in-coming board and President Nominee will serve as one of the
Directors. After such balloting they shall serve as President Elect and President Nominee in the year following the election.
If approved by the General assembly in the rotary year 21-22 one extra nomination will be called for the post of president
nominee who will become president elect in the rotary year 23-24.For the RY 23-24 nominations will only will be called for
president nominee.
Section 2 – The officers and directors, so elected, together with the immediate past president shall constitute the board in
the year following the election. President of the ensuing year will also appoint a club counselor to guide the board. Club
Counselor will be a Past President of the club and member of the board but with no voting right.
Section 3 – If any board member other than the President elect or President nominee vacates his or her position, the
remaining members of the board will appoint a replacement. For the post of President Elect or President Nominee
emergency reelection should be held.
Section 4 – The term of the board members elected, is One Rotary Year.

Article 4 Duties of Officers
Section 1 – President. It shall be the duty of the president to preside at meetings of the club and the board and to
perform other duties as ordinarily pertain to the office of president.
Section 2 – President-elect. It shall be the duty of the president-elect to serve on the board as vice president.
Section 2A - President-Nominee. It shall be the duty of the President-Nominee to serve as director
Section 3 – Vice-President. It shall be the duty of the vice-president to preside at meetings of the club and the board in
the absence of the president.
Section 4 – Secretary. It shall be the duty of the secretary to keep membership records; record attendance at meetings;
send out notices of club, board, and committee meetings; record and preserve the minutes of such meetings; report as
required to RI, including the semiannual reports of membership on 1 January and 1 July of each year, which shall include
per capita dues for all members and prorated dues for active members who have been elected to membership in the club
since the start of the July or January semiannual reporting period; report changes in membership; provide the monthly
attendance report, which shall be made to the district governor within 15 days of the last meeting of the month; collect
and remit RI official magazine subscriptions; and perform other duties as usually pertain to the office of secretary.
Section 5 – Joint Secretary – It shall be the duty of Jt. Secretary to assist Secretary in discharge of its duties and other
duties as may be prescribed by the President or the board
Section 6 – Treasurer - It shall be the duty of the treasurer to have custody of all funds, accounting for it to the club
monthly and publish the same after approval of board along with minutes of board meeting, and at any other time upon
demand by the board, and to perform other duties as pertains to the office of treasurer and SoP laid down in appendix of
this by laws. At the end of the rotary year, the treasurer shall turn over to the incoming treasurer or to the president all
funds, books of accounts, or any other club property.
Section 7 – Sergeant-at-Arms. The duties of the sergeant-at-arms shall be such as are usually prescribed for such office
and other duties as may be prescribed by the president or the board.
Section 8 – Bulletin editor. The duties of the bulletin editor shall be such to bring out a club’s monthly newsletter or on
special occasions and other duties as may be prescribed by the president or the board.
Section 9 – Directors: The Five Avenues of Service are the philosophical and practical framework for the work of this
Rotary club. They are Club Service, Vocational Service, Community Service, International Service and Youth Service. This
club will be active in each of the five Avenues of Service. President for the ensuing year will assign one director to lead
each avenue of service. It shall be duty of Directors to plan activities and programs for the clubs under each avenue.
Section 10 – Trainings: All Club officers shall attend the training programs as may be organized by the District Governor
and Club President or their representatives from time to time. Continued.

Article 5 Meetings
Section 1 – Annual Meeting. An annual meeting of this club shall be held in first week of December in each year, at which time the election of officers
and directors to serve for the ensuing year shall take place. In case it is not possible to hold the meeting during first week due to holiday or Force
de majeure, it should be held in following weeks but not later than December 31
st
.
Section 2 – Regular Meetings will be held in person or virtual or both.
Physical meetings of the club shall be held on Friday at 1900 Hrs. Hotel JW Marriot, Vittal Mallya Road, Bengaluru and/or on any virtual
platform. Due notice of any changes in or canceling of the regular meeting shall be given to all members of the club. Board reserves the right to
change the meeting venue, day, date, cancel or merge meetings with projects as granted by Article 7 of Constitution – Exceptions to Provisions on
Meetings and Attendance” that prevails over listed articles mentioned therein.
Section 3 – One-third of the membership shall constitute a quorum at the annual and regular meetings of this club. In case, the quorum is not
present, meeting will be adjourned and reconvened after 15 minutes to carry out the listed business.
Section 4 – Regular meetings of the board shall be held on last Sunday of each month or as decided by the board. Special meetings of the board
shall be called by the president, whenever deemed necessary, or upon the request of two (2) directors, due notice having been given. In case, the
quorum is not present, meeting will be adjourned and reconvened after 15 minutes to carry out the listed business. Minutes of the board meeting
along with monthly accounts will be made available to board membe rs within 25 days from the date of the said meeting. Approved minutes of
meeting along with accounts will be made available to members within 30 days of the Board Meeting.
Article 6 Dues
The annual dues shall be decided by club assembly before start of new Rotary year. It shall payable in full or semiannually on the first day of July
and of January. Annual due represent each members’ contribution towards RI per capi ta fee, a subscription to Rotary regional magazine, district per
capita dues, per capita meeting expenses and any other Rotary per capita assessment that may be decided by the board from time to time. (Please
add Family fee and satellite club members fee – this may not be required if we follow above)
Article 7 Method of Voting
The business of this club shall be transacted by viva voce* vote except the election of officers and directors, which shall be by ballot. The board may
determine that a specific resolution be considered vote by ballot rather than by viva voce. In a club assembly, 20% of the members present seeking
vote by ballot will override the board’s decision for vote by viva voce.
(Note: Viva voce vote is defined as when club voting is conducted by vocal assent.)
Article 8 Five Avenues of Service
The Five Avenues of Service are the philosophical and practical framework for the work of this Rotary club. They are Club Service, Vocational Service,
Community Service & International Service. This club will be active in each of the five Avenues of Service.

Article 9 - Strategic committee
The club will have strategic committee comprising of all past presidents who are current members in good
standing of the club, President, President elect and President nominee. Committee will elect its own chairman
for the rotary year.
Task of this committee is to
a.To develop long term comprehensive strategic goals for the club
b.To groom and develop future Leadership and long-term succession plan
c.To approve and coordinate with the board on project/s which require/s committed funding for future
rotary year/s
d.Guide and Advice incumbent board on high value project/s
e.Make policies/SOPs for membership growth
f.To advice Trust and Board on utilization of reserved/ carryover funds
g.Develop binding administrative SOPs for all aspects of club governance like administration, membership
and leadership development, formation and running of RCC and satellite clubs, bylaws, club constitutions,
new and modification of sops, accepted ethos, setting conventions & traditions, etc.
h.To take over day to day functioning/running of club in crisis. Crisis will be decided by minimum 75% of
members of Strategic Committee present in the emergency meeting called in line with club constitution.
i.To advise, guide assist club when requested by Board and Members

Article 10 Committees

Club committees are charged with carrying out the annual and long-range goals of the club based on the five
Avenues of Service. When feasible, committee members should be appointed to the same committee for three
years to ensure consistency. Club will have committees as per appendix 2.

Section 2 (a) The Club President and Secretary shall be ex officio a member of all committees
except strategic committee and as such, shall have all the privileges of membership thereon.
(b) Each committee shall transact its business as is delegated to it in these
bylaws and such additional business as may be referred to it by the President or the board. Except where special
authority is given by the board, such committees shall not act until a report has been made and approved by the
board & club assembly.
(c) Each Chair shall be responsible for regular meetings and activities of the committee, shall supervise and
coordinate the work of the committee, and shall report to the board on all committee activities.

Article 11 Finances
Section 1 – Prior to the beginning of each Rotary year, the board shall prepare a budget of estimated income and expenditures for
the year, which shall stand as the limit of expenditures for these purposes, unless otherwise ordered by action of the board. The
budget shall be broken into two separate parts: one in respect of club operations and the other for Fellowship.

Section 2- All charitable and Service Operations will be handled by the RBJ Trust through a separate bank account and act as per
trust deed. All the trustees should be members of Rotary Bangalore Junction in good standing.

Section 3 – The treasurer shall deposit all rotary funds and club/fellowship fund club funds in a bank, named by the board. The
club funds shall be divided into two separate parts: club operations and fellowship.
The club activity shall be divided into two parts- official activities and fellowship, and fun activities. Separate bank accounts for each
of these activities along with separate subscriptions, shall be maintained.

Section 4-Tresurer will report to the board, the unpaid dues. If any dues are pending for more than 3 months, the concerned
members’ name should be deleted from the membership of club. Rotary
Club can open separate account/s for specific purpose/projects with signatories authorized by the board.

Section 5 – All bills shall be paid by the treasurer or other authorized officer only when approved by president and any one
authorized member of the board

Section 6 – A thorough audit and review of all financial transactions should be done by a qualified person once each year.

Section 7 – Officers having charge or control of club funds, shall ensure the safe custody of the funds of the club.


Section 8 – The fiscal year of this club shall be rotary year from 1

Section 9- President and treasurer and board shall be responsible to meet statutory compliances as per existing laws.

Article 12 Method of inducting Members

Section 1 – The name of a prospective member, proposed by an active member of the club, shall be submitted to the membership screening
committee in writing, through the chairman membership development commi ttee. A transferring or former member of another club may be
proposed to active membership by the former club. The proposal shall be kept confidential except as otherwise provided in this procedure as per
sop in appendix 3
Section 2- the screening committee will go through the proposal and if needed will meet the prospective member based on their interaction with
proposed member it will forward its recommendation to the Board.
Section 3 – The board shall ensure that the proposal meets all the classification and membership requirements of the standard Rotary club
constitution.
Section 4 – The board shall approve or disapprove the proposal within 30 days of its submission and shall notify the proposer, through the club
secretary, of its decision.
Section 5 – If the decision of the board is favorable, the prospective member shall be informed of the purposes of Rotary and of the privileges and
responsibilities of membership, following which the prospective member shall be requested to sign the membership proposal form and to permit his
or her name and proposed classification to be published to the club.
Section 6 – If no written objection to the proposal, stating reasons, is received by the board from any member (other than honorary) of the club
within seven (7) days following publication of information about the prospective member, that person, upon payment of the club dues (if not

Section 7 – Following the election, the president shall arrange for the new member's induction, membership card, and new member Rotary
literature. In addition, the president or secretary will report the new member information to RI and the president will assign a member to assist
with the new member's assimilation to the club as well as assign the new member to a club project or function.
Section 8 – The club may induct, in accordance with the standard Rotary club constitution, honorary members, proposed by the strategic committee
and approved by board.
Section 9- Honorary membership may be offered to the CSR partners contributing more the 10 l acs.

Article 13 Resolutions
The club shall not consider any resolution or motion to commit the club to any matter until the board has considered and approved it. Such
resolutions or motions, if offered at a club meeting, shall be referred to the board without discussion. However, any motion at club
assembly will be considered with due notice.

Article 15 Amendments
These bylaws may be amended at any club assembly, a quorum being present, by a two-thirds vote of
all members present, provided that notice of such proposed amendment shall have been mailed to each
member at least ten (10) days before such meeting. No amendment or addition to these bylaws can be
made which is not in harmony with the standard Rotary club constitution and with the constitution and
bylaws of RI.

Prospective Member Induction Process
Step 1:- Prospective member has to fill up the Google Form.
Step 2:- The Chair person in charge of membership Development has to post in RBJ
official WhatsApp group and wait for any objection from any member for 24 Hours.
Step 3:- If there is No Objection / Comment from any member, the chair has to
forward it to the screening committee consisting of 5 members for their review and
interview (in person or zoom call)
Step 4:- If step 3 is cleared, then the prospective member has to attend minimum of
three meetings before he/she is inducted to the club.
Step 5:- New member has to pay the full subscription amount and attend a Pre-
induction talk as per classification and attached to one of the avenues of his/her
choice.
Step 5:- During Induction, the member has to be handed over the Induction Kit.
